Terms of Service & IP Agreement
Governing client engagements, payment milestones, intellectual property transfers, and legal liabilities.

1. Scope of Engagement & Services
These Terms of Service ("Agreement") govern all client engagements, creative projects, software engineering builds, media productions, and branding campaigns executed by The Shravasadhaka (and its dedicated branding wing, NexLyr).
2. Payment Terms & 50/50 Milestone Structure
- 50% Initial Retainer: A non-refundable deposit of 50% of total project valuation is required prior to project kickoff.
- 50% Final Clearance: The remaining 50% balance is due upon project completion prior to final asset handover.
3. Intellectual Property (IP) Transfer Condition
All visual assets, logo mark vector files, source code repositories, design systems, and software platforms developed by The Shravasadhaka remain our exclusive property until 100% full payment clearance is received. Exclusive commercial ownership transfers to the client only upon 100% full payment clearance.
4. Confidentiality & Governing Jurisdiction
Both parties agree to maintain strict confidentiality regarding proprietary business information, source code, strategy briefs, and financial terms for a period of two (2) years post-termination.
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Chennai, Tamil Nadu, India.
